LOONI — Terms of Service

These Terms of Service ("Terms") govern your use of LOONI, an AI receptionist and booking-assistant service operated by AUTONOOMI LABS LLC ("LOONI", "we", "us"). By creating an account or using the Service, you ("Customer", "you") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

LOONI provides software that acts as an automated receptionist for your business: it answers inquiries, books and manages appointments, and sends follow-ups across channels you connect (such as a website chat widget, WhatsApp, phone, SMS, and email), and it can sync with your Google or Microsoft calendar. The Service is provided to businesses ("B2B"); it is not intended for personal, family, or household use.

2. Accounts and eligibility

You must provide accurate account information and are responsible for activity under your account and for keeping your credentials secure. You must be authorized to act for the business you register and be of legal age to enter a contract.

3. Automated / AI nature of the Service — important

The Service generates responses automatically using artificial intelligence. Responses may be inaccurate, incomplete, or unsuitable for a given situation. LOONI is a productivity tool, not a substitute for professional judgment, and it does not provide medical, legal, financial, or other professional advice. You are responsible for reviewing and supervising the Service's outputs and for any actions taken based on them, including bookings, cancellations, and messages sent to your customers on your behalf.

4. Your responsibilities and acceptable use

You agree to use the Service lawfully and, in particular, that:

Your content is yours to use. You have the rights to the business information, knowledge base, and materials you provide, and they are accurate and not infringing or unlawful.

Consent for messaging. Before LOONI sends messages to your customers (SMS, WhatsApp, email, etc.), you have obtained the consent required by applicable law (including the US Telephone Consumer Protection Act (TCPA) and CTIA Messaging Principles, and equivalent laws elsewhere), and you will honour opt-out requests. For SMS messaging, you agree that message frequency depends on user activity, standard message and data rates may apply, and users can reply STOP to unsubscribe or HELP for assistance.

SMS program. LOONI sends SMS on behalf of the business to that business's own customers: appointment confirmations, reminders, and replies to messages the customer sent first. We never send unsolicited or marketing SMS. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe at any time, or HELP for help.

Consent and notice for calls/recording. Where the Service handles phone calls, transcribes, or records, you are responsible for providing any legally required notice to, and obtaining any required consent from, the call participants under the laws applicable to you and your customers.

Data protection. You are responsible for handling your customers' personal data lawfully, including providing them appropriate privacy notices. As between us, you are the controller of your customers' data and LOONI processes it to provide the Service (see our Privacy Policy).

No misuse. You will not use the Service to send spam or unlawful, harassing, deceptive, or infringing content; to violate third-party rights; to attempt to breach security or reverse engineer the Service; or in any way that could disrupt the Service or burden it abusively.

You are responsible for your customers' interactions arising from your use of the Service.

5. Third-party services

The Service integrates with third parties you choose to connect (e.g., Google, Microsoft, Twilio, Meta/WhatsApp, and payment processors). Your use of those integrations is also subject to those providers' terms, and we are not responsible for third-party services. You authorize LOONI to access and use the connected accounts solely to provide the Service.

6. Fees and billing

Where paid plans apply, fees are billed in advance per the plan you select, are non-refundable except as required by law, and exclude taxes (which are your responsibility). We may change plans and pricing prospectively with reasonable notice. Usage-based charges (e.g., messaging, telephony) may be passed through per the applicable plan.

7. Intellectual property

We own the Service, its software, and all related intellectual property. You retain ownership of the content and data you provide. You grant us a limited licence to host and process your content to operate and improve the Service. We may use aggregated, de-identified data to improve the Service.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free, or that AI outputs will be accurate. Some jurisdictions do not allow certain warranty exclusions; in that case the exclusions apply to the maximum extent permitted.

9. Limitation of liability

To the maximum extent permitted by law, LOONI will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the three (3) months before the event giving rise to the claim, or (b) USD 100. These limits do not apply to liability that cannot be limited by law.

10. Indemnification

You will defend and indemnify LOONI against third-party claims and resulting losses arising from your content, your use of the Service, your messages to your customers, your breach of these Terms, or your violation of law or third-party rights.

11. Suspension and termination

You may stop using and close your account at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or for prolonged inactivity, and we may discontinue the Service with reasonable notice. On termination, your right to use the Service ends; we will handle your data as described in the Privacy Policy. Sections that by their nature should survive (e.g., 7–10, 12) survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue there, except where mandatory law (such as applicable consumer-protection law) provides otherwise.

13. Changes to these Terms

We may update these Terms as the Service evolves. We will update the "Last updated" date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
